These terms govern the use of Alex, the decision-memory service operated by The AI Shop ("we", "us") at alex-hq.com. Alex is provided to companies. By using Alex you agree to these terms on behalf of the company that added you, and you confirm that you are authorised to do so. If your company has a separate written agreement with us, that agreement takes precedence where the two differ.
1. Accounts and access
Alex is set up for your company by The AI Shop, and your company's admin invites the colleagues who use it. You sign in with your work email and a password or one-time code, or through your Google or Microsoft account. Keep your password, email, and sign-in accounts secure, and tell us promptly at hello@smart-alex.ai if you believe your access has been misused. Your company's administrators control who has access to its workspace and may remove members at any time.
2. The service
Alex records your company's decisions with their reasoning, grounds them in the company's own data, and checks them for drift over time. We may add, change, or retire features as Alex develops. Where a feature is marked as a preview or pilot, it may change or be withdrawn without notice.
3. Your company's information
Your company owns the decisions, documents, and data it records in Alex or connects to it ("Company Information"). Your company grants us a licence to host, process, and display Company Information only as needed to provide and secure Alex. We do not sell Company Information and do not use it to market to third parties. Our Privacy Policy explains how we handle personal information.
Your company is responsible for having the right to record and connect the information it gives Alex, including any personal information about other people.
4. Outputs and decisions
Alex uses artificial intelligence to summarise, compare, and flag information. Its outputs can be incomplete or wrong. They are an aid to your company's judgement, not legal, financial, or professional advice, and your company remains responsible for the decisions it makes and the actions it takes.
5. Acceptable use
You agree not to:
- use Alex for anything unlawful, or to store information you have no right to store;
- attempt to gain access to another company's workspace or to our systems;
- probe, scan, overload, or interfere with the service or its security;
- copy, resell, or build a competing service from Alex or its outputs; or
- share your access with people your company has not authorised.
6. Fees
Fees, if any, are set out in the order form or agreement between your company and us. If there is none, Alex is provided under pilot terms and we may introduce fees on reasonable notice. Fees exclude VAT unless stated otherwise.
7. Confidentiality
We treat Company Information as confidential and will not disclose it except to providers that help us run Alex, as described in our Privacy Policy, or where the law requires. You agree to keep confidential any non-public information about Alex that we share with you.
8. Availability and support
We aim to keep Alex available at all times but do not guarantee uninterrupted service. Maintenance, provider outages, and events beyond our control may cause downtime. Support is available by email at hello@smart-alex.ai.
9. Intellectual property
We own Alex, including its software, design, and models, and all improvements to them. Nothing in these terms transfers that ownership. If you give us feedback or suggestions, we may use them without obligation to you.
10. Warranties and liability
Alex is provided "as is". To the extent the law allows, we exclude all warranties not expressly stated in these terms, including fitness for a particular purpose. We are not liable for indirect or consequential loss, loss of profit, or loss of data, and our total liability arising from Alex in any 12-month period is limited to the fees your company paid us for Alex in that period. Nothing in these terms limits liability that cannot be limited under South African law.
11. Term and termination
These terms apply for as long as you or your company use Alex. Your company may stop using Alex at any time. We may suspend or end access if these terms are breached or if we reasonably believe use of Alex creates a risk to us or to others. When your company's agreement with us ends, it may export its Company Information for 30 days, after which we delete it unless the law requires us to keep it.
12. Changes to these terms
We may update these terms from time to time. We will post the updated terms here, change the date at the top, and, for material changes, notify account holders by email before they take effect. Continued use of Alex after that date means you accept the updated terms.
13. Governing law
These terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction over any dispute arising from them.
